Terms of Service

To become a member of Rx Solutions GPO, you must:

• Be a licensed pharmacy or authorized healthcare provider.
• Maintain valid pharmacy licenses and certifications.
• Provide accurate business information and documentation.
• Comply with all applicable federal and state regulations.
• Be authorized to enter into binding contracts on behalf of your organization.

As a member, you gain access to:

• Negotiated freight rates with major carriers (30-60% savings)
• Rx Cold Capsule and cold-chain packaging solutions
• Discounted medical supplies and consumables
• Compliance support and operational consulting
• Access to member portal and support resources

• Pricing: Member pricing is subject to contracted rates and may vary by volume and tier.
• Payment: Payment terms are net 30 days unless otherwise agreed in writing.
• Orders: All orders are subject to availability and acceptance.
• Minimum Orders: Certain products may have minimum order quantities
• Cancellations: Order cancellations must be submitted in writing and may be subject to fees.

• Services are provided on an “as is” and “as available” basis, without any express or implied warranties except where required by law.
• We are not liable for delays or failures caused by events beyond our reasonable control, including supply-chain or carrier disruptions, shipping delays caused by carriers, weather, or other unforeseeable events and performance shall be excused during the event and for a reasonable recovery period thereafter.
• Members are solely responsible for verifying the suitability, proper storage, handling, and use of all products purchased.
• Total liability is limited to fees paid for services in the preceding 12 months.
• We reserve the right to modify services and pricing with 30 days notice.
• Members are solely responsible for proper storage, handling, and use of all products purchased through us, including compliance with applicable temperature, safety, and regulatory requirements.
• Members acknowledge they have not relied on any statements, promises, or representations outside of these Terms of Service or the written materials provided by us.

Membership may be terminated:

• By either party with 30 days written notice
• Immediately for breach of these terms
• If pharmacy licenses expire or are revoked
• For non-payment of outstanding balances
• No refunds for prepaid services upon termination

These Terms are governed by the laws of the State of Texas, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts of Dallas County, Texas. By using our services, you consent to this jurisdiction and venue.
